Program Eligibility: To participate in the NurseBrain Affiliate Program, you must be at least 18 years old and comply with all applicable laws and regulations. You must also have an active website or social media account that aligns with NurseBrain’s values and promotes our products and services in a lawful and ethical manner. We reserve the right to decline or terminate your participation at any time for any reason.
Affiliate Responsibilities: As an affiliate, you agree to promote NurseBrain’s products and services in a truthful and honest manner. You must not engage in any activity that could damage NurseBrain’s reputation or violate any intellectual property rights. You must also comply with all applicable laws and regulations, including those related to advertising and data privacy. This includes, but is not limited to, disclosing your relationship with NurseBrain and any compensation received for referrals, as well as obtaining all necessary consents from your website or social media audience to collect and use their data in accordance with NurseBrain’s Privacy Policy. You also agree to comply with NurseBrain’s Terms of Service and Privacy Policy, which can be found at https://nursebrain.com/privacy-policy/ and https://nursebrain.com/terms/.
Commission and Payment: NurseBrain will pay affiliates a commission for each successful sale made through their referral link. The commission rate is subject to change and will be communicated to affiliates in advance. Commission payments will be made on a monthly basis via PayPal, and affiliates are responsible for any taxes or fees associated with their commissions. Commission payments may be withheld or forfeited if NurseBrain determines that a referral is fraudulent, deceptive, or violates our Terms of Service or Privacy Policy.
Promotion and Marketing: As an affiliate, you may use NurseBrain’s logo, trademarks, and other promotional materials to promote our products and services. However, you must obtain our prior written consent before using any of our copyrighted materials or engaging in any co-branded marketing activities. You must also ensure that your marketing efforts do not create any confusion about your relationship with NurseBrain or imply any endorsement or partnership beyond the scope of the Affiliate Program.
Termination: NurseBrain may terminate your participation in the Affiliate Program at any time without notice for any reason. Upon termination, all commissions earned but not yet paid will be forfeited. You may also terminate your participation in the Affiliate Program at any time by notifying NurseBrain in writing.
Indemnification: You agree to indemnify and hold NurseBrain and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, expenses, or liabilities arising out of or related to your participation in the Affiliate Program, including but not limited to any claims related to your marketing or promotion of NurseBrain’s products or services.
Disclaimer of Warranties: NurseBrain makes no representations or warranties of any kind, express or implied, with respect to the Affiliate Program or NurseBrain’s products or services. NurseBrain disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability: In no event shall NurseBrain be liable to you or any third party for any indirect, special, consequential, or punitive damages arising out of or related to your participation in the Affiliate Program, even if NurseBrain has been advised of the possibility of such damages. NurseBrain’s liability to you for any claim arising out of or related to the Affiliate Program or NurseBrain’s products or services shall be limited to the total commissions paid to you under the Affiliate Program during the six (6) months preceding the claim.
Modification: NurseBrain reserves the right to modify these Terms of
Service at any time without prior notice. Any modifications will be effective immediately upon posting on the NurseBrain website, and your continued participation in the Affiliate Program after any such modification will constitute your acceptance of the modified Terms of Service. It is your responsibility to regularly review the Terms of Service and ensure that you are in compliance with any changes.
Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the state of Delaware, without giving effect to any principles of conflicts of law. Any action arising out of or related to these Terms of Service shall be brought exclusively in the state or federal courts located in Delaware, and you hereby consent to the jurisdiction of such courts.
Entire Agreement: These Terms of Service constitute the entire agreement between you and NurseBrain with respect to the Affiliate Program and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and NurseBrain. If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: The failure of NurseBrain to enforce any right or provision of these Terms of Service shall not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms of Service or any rights or obligations hereunder, in whole or in part, without NurseBrain’s prior written consent. NurseBrain may assign or transfer these Terms of Service or any rights or obligations hereunder without restriction.
Headings: The headings in these Terms of Service are for convenience only and shall not affect the interpretation of these Terms of Service.
Information we collect: When you sign up for the Affiliate Program, we collect your name, email address, and other contact information. We also collect information about your website or social media accounts that you will be using to promote NurseBrain’s products and services.
How we use information: We use the information we collect to manage and administer the Affiliate Program, communicate with affiliates, and track affiliate referrals and commissions.
Disclosure of information: We may share your information with third-party service providers who assist us in operating the Affiliate Program, such as payment processors and marketing agencies. We may also disclose your information if required by law or if we believe it is necessary to protect our rights or the rights of others.
Security: We use reasonable measures to protect the confidentiality and security of your information. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.
Retention: We will retain your information as long as necessary to fulfill the purposes for which it was collected or as required by law.
Your rights: As an affiliate, you have the right to access, correct, or delete your personal information. You may also object to or restrict our processing of your information or request that we transfer it to another party.
